Country: [Country]
Email: [Email Address]
Phone: [Phone Number]
If the Client is a company or a freelancer registered as such in their country, add the relevant information (registration number, name of the registry or authority of registration, and any relevant number such as a VAT number).
Hereafter the "Client"
Collectively, the Professional and the Client are referred to as the "Parties".
1.2 General Information
These T&C are provided to the Client by the Professional prior to the engagement. The Client acknowledges having read, understood, and agreed to be bound by these T&C.
The Professional's quote (the "Quote"), together with these T&C, constitutes the offer. The Client accepts the offer:
● by confirming the Quote in a clear and verifiable manner, in particular by replying in writing (including by email or message),
● by confirming through the Professional's booking system,
● or by returning the Quote marked as accepted.
No session may be booked or take place before the Client has accepted the Quote and these T&C. The agreement is concluded when the Professional receives the acceptance (the "Effective Date"). Acceptance does not depend on payment, which under these T&C falls due after the Services have been performed.
The Professional is and remains an independent contractor, registered with the Chamber of Commerce (KvK), and is not an employee, agent, partner, or joint venture of the Client. The Professional determines the method, manner, and means by which the work is performed. These T&C do not create an employment relationship.
The governing language of these T&C is English, and the English text alone constitutes the entire and valid agreement. Any translation is provided for information only and has no binding force. The English version prevails in the event of any conflict.
1.3 Consumer and Business Clients
These T&C apply both to Consumers and to Business Clients. Certain provisions apply only to one category, as expressly indicated. A Consumer is a natural person acting for purposes outside their trade, business, craft, or profession. A Business Client is any Client who is not a Consumer.
2. Execution of the Terms and Conditions
2.1 Obligations of the Professional
2.1.1 The Professional and the Services
The Professional holds the following professional credentials: Licensed Professional Counselor (LPC, United States), AASECT Certified Sex Therapist, and certification in Emotionally Focused Therapy (ICEEFT). The Professional is not registered in the Dutch BIG register and is not a psychologist or psychotherapist within the meaning of Dutch law. The Professional provides the Services on the basis of her own professional training and standards.
The Professional provides the following relationship-focused therapeutic and professional services (the "Services"):
● Therapy: supportive therapeutic sessions, in particular work on relationship issues, for individuals or couples;
● Supervision: professional supervision for practitioners;
● Consultation: advisory sessions on matters within the Professional's expertise; ● Training: workshops and training sessions, delivered to individuals or organisations. The Services are delivered online and, where agreed, in person. The scope, format, number of sessions, and location applicable to a given engagement are set out in the Quote.
These T&C govern the Services only. The purchase of products through the Professional's online store is subject to separate terms and is not covered by these T&C.
2.1.2 Method of Delivery
The Professional works through a structured process, adapted to each Client:
● an initial consultation and assessment;
● the definition of a goal;
● the selection of appropriate interventions to work towards that goal;
● the observation of progress against agreed milestones;
● the conclusion of the engagement once the agreed goal is met.
The process is collaborative, and the Client retains autonomy over all decisions concerning their own situation.
2.1.3 Standard of Service and Nature of the Services
The Professional performs the Services with due care, discretion, and professional skill, on a best-efforts basis. The Professional's obligations are obligations of means and not obligations of result. The Professional does not guarantee any specific therapeutic, personal, relational, or commercial outcome.
The Services are supportive and therapeutic in nature. They do not constitute, and are not a substitute for, medical treatment, psychiatric care, a clinical diagnosis, crisis intervention, or emergency care. The Professional does not prescribe medication and does not provide legal, financial, or medical advice. If the Client experiences a medical or psychological emergency, or is at risk of harm, the Client should seek help without delay: in the Netherlands, the emergency services (112), the suicide prevention line (113), or their general practitioner (huisarts); outside the Netherlands, their local emergency number or a qualified healthcare provider.
The Services are delivered through conversation, education, and guidance. They do not include any sexual, physical, or intimate contact of any kind between the Professional and the Client, and no such contact forms part of the Services. Where the Services address topics of a sexual or intimate nature, this is done in an educational and professional manner.
2.1.4 Duty of Care towards the Client
In performing the Services, the Professional commits to protecting the Client's personal information, respecting the Client's autonomy, and acting to protect the Client from foreseeable harm within the reasonable limits of the Services provided, in accordance with sections 7 and 8 of these T&C.
2.1.5 Communication and Availability
The Professional maintains regular and transparent communication with the Client regarding scheduling, progress towards the agreed goal, and availability, as provided in the Quote. Where communication between sessions is included in the Quote, the Professional is under no obligation to respond on the same day, but will use reasonable efforts to respond promptly.
The Professional is not available outside her working hours, which are weekdays from 9:00 to 17:00 Central European Time (CET/CEST), and is never available at weekends.
The practice telephone line is for scheduling only. It is not monitored for emergencies, and messages may not be seen immediately.
2.1.6 In-Person Sessions
In-person Services take place at the Professional's premises, unless the Parties expressly agree otherwise in the Quote. The Professional ensures that the location is safe, private, and free from interruption, so that sessions cannot be seen or overheard by third parties. Where an in-person session takes place at a location chosen or provided by the Client, section 2.2.1 applies.
2.2 Obligations of the Client
2.2.1 Obligations During the Engagement
The Client commits to:
● providing the Professional, in a timely manner, with all information necessary to perform the Services;
● reading and agreeing to the Professional’s Informed Consent document before the Services begin, as set out in section 14.1;
● attending scheduled sessions and being punctual, and cancelling or rescheduling any session in accordance with section 4;
● communicating honestly and cooperating in good faith throughout the process; ● retaining sole responsibility for their own decisions, choices, and outcomes;
● paying the Professional's Invoices in accordance with section 3 of these T&C.
Where in-person Services take place at a location chosen or provided by the Client, the Client takes reasonable steps to ensure the Professional's safety there, including by flagging any relevant hazard in advance. Given the sensitive nature of the Services, the Client also ensures that the location is private and free from interruption, so that sessions cannot be seen or overheard by third parties.
2.2.2 Obligations Upon and Following Termination
Upon termination, regardless of the reason:
● the Client settles all outstanding Invoices for Services performed up to the effective date of termination;
● the Client refrains from presenting the Professional's proprietary methods, frameworks, or materials as their own, and from reproducing or distributing them without the Professional's prior written consent, subject to section 6.
2.2.3 Client Representations and Conduct
The Client confirms that they are at least eighteen (18) years old and have full legal capacity to enter into the agreement. The Professional may ask the Client to confirm this at booking.
Participation in the Services is voluntary. The Client may decline any exercise or suggestion and may pause or end a session at any time.
The Client takes an active role in the process, including by working on agreed points between sessions.
The Client shall not attend a session under the influence of alcohol or non-prescription drugs. The Professional may end a session, which remains payable, where the Client is not in a fit state to participate.
The Client shall treat the Professional with respect. Any sexual advance towards the Professional, or any abusive, threatening, or otherwise inappropriate behaviour, entitles the Professional to suspend or terminate the engagement with immediate effect, without refund of the Services already performed and without prejudice to the amounts due.
Where the Services are provided to more than one person jointly, such as a couple, each participant agrees to be bound by these T&C, in particular the confidentiality, conduct, and data protection provisions. Unless otherwise agreed in the Quote, the Client named in the Quote is responsible for payment.
3. Fees and Payment Terms
3.1 Quote and Fees
The Professional provides the Client with a formal Quote setting out the scope of Services, deliverables, fees, and accepted payment methods. Fees are calculated as detailed in the Quote. The amounts due, together with any applicable taxes, are set out in the Quote and in the invoice issued by the Professional (the "Invoice").
Prices and service descriptions displayed on the Professional's website are provided for information only and do not constitute a binding offer.
3.2 Payment Schedule
Unless otherwise stated in the Quote, the full fee (100%) is invoiced upon completion of the Services and is payable within fourteen (14) days of the Invoice date.
The Professional may, where stated in the Quote, invoice at intermediate milestones for Services already performed. Where the Client is a Consumer who has expressly requested performance to begin during the withdrawal period, section 5 applies to the calculation of amounts due in the event of withdrawal.
3.3 Consequences of Non-Payment
If the Client fails to pay by the due date:
Late payment interest.
For a Business Client, statutory commercial interest is due on the outstanding amount under Article 6:119a of the Dutch Civil Code, from the day following the due date until full payment.
For a Consumer, statutory interest is due under Article 6:119 of the Dutch Civil Code, from the expiry of the payment reminder period referred to below.
Collection costs.
For a Business Client, the Client owes extrajudicial collection costs, including a standard administrative fee, in accordance with Article 6:96 of the Dutch Civil Code.
For a Consumer, the Professional will first send a written reminder granting a further period of fourteen (14) days to pay without additional cost (the veertiendagenbrief), as required by Article 6:96(6) of the Dutch Civil Code. If payment is still not made, extrajudicial collection costs are due, calculated in accordance with the Dutch Extrajudicial Collection Costs Decree (Besluit vergoeding voor buitengerechtelijke incassokosten).
Suspension.
The Professional may suspend all ongoing work, and the delivery of any documentation, until all outstanding amounts, including interest, have been paid in full.
Termination.
If payment remains outstanding for more than thirty (30) days after the due date, the Professional may terminate the engagement with immediate effect by written notice, without prejudice to the amounts due.
Application of payments.
Where an amount is overdue, any payment received from the Client that is insufficient to cover the collection costs, interest, and principal then due is applied first to the collection costs, then to the accrued interest, and finally to the principal, in accordance with Article 6:44 of the Dutch Civil Code.
4. Cancellation and Rescheduling
The Client shall notify any cancellation or rescheduling of a session as early as possible, and in any event at least two (2) business days before the scheduled start time. For this purpose, business days are weekdays, excluding weekends and Dutch public holidays.
Where notice is given at least two (2) business days in advance, the session may be rescheduled at no additional cost, subject to the Professional's availability.
Where notice is given less than two (2) business days before the scheduled start time, or where the Client does not attend without prior notice, the session is considered to have been performed and remains payable in full.
This section does not apply where the cancellation results from a Force Majeure event as defined in section 10, provided that the Client notifies the Professional as soon as reasonably practicable and provides reasonable evidence of the Force Majeure circumstances. In that case, the session is rescheduled at no additional cost, subject to the Professional's availability.
5. Right of Withdrawal (Consumers Only)
This section applies only where the Client is a Consumer who concludes the agreement at a distance or off-premises.
5.1 Withdrawal Period
The Consumer has the right to withdraw from the agreement within fourteen (14) days without giving any reason. The withdrawal period expires fourteen (14) days after the day of conclusion of the agreement.
5.2 Exercise of the Right
To exercise the right of withdrawal, the Consumer informs the Professional of their decision by an unequivocal statement, sent to hello@lisajotherapy.com. The Consumer may use the model withdrawal form set out in the Annex, but this is not obligatory. To meet the deadline, it is sufficient to send the communication before the withdrawal period has expired.
5.3 Effects of Withdrawal
If the Consumer withdraws and no payment has yet been made, no reimbursement is due, subject to any amount payable for Services already provided under section 5.4.
If the Consumer has already made a payment, the Professional reimburses it without undue delay and no later than fourteen (14) days after being informed of the withdrawal, using the same means of payment unless otherwise agreed. The Professional may deduct from the reimbursement the amount payable for Services already provided under section 5.4.
5.4 Performance Started During the Withdrawal Period
If the Consumer wishes the Services to begin during the withdrawal period, the Consumer must expressly request this. In that case:
● if the Services are fully performed during the withdrawal period, the Consumer acknowledges that they lose the right of withdrawal once the Services have been fully performed;
● if the Consumer withdraws after performance has begun but before it is complete, the Consumer pays an amount proportionate to the Services already provided up to the moment of withdrawal, based on the total price agreed in the Quote.
6. Intellectual Property
6.1 Background Intellectual Property
These T&C do not transfer any pre-existing intellectual property of either Party. Each Party retains full ownership of its background intellectual property, including trademarks, methodologies, trade secrets, and materials created independently of this engagement.
6.2 Materials Provided to the Client
The Professional's work is delivered mainly through conversation. Where helpful, the Professional may provide the Client with exercises or resources. The Client may keep and use these materials for the Client's own personal purposes, under a non-exclusive, non-transferable licence. The Client may not reproduce, distribute, sublicense, resell, or share the materials with any third party.
No intellectual property is transferred to the Client. The Professional retains full ownership of these materials, as well as of her methods, frameworks, and training materials.
6.3 Moral Rights and Attribution
The Professional retains the right to be identified as the author of the materials where appropriate. The Client shall not misrepresent the origin of the materials in any manner that could damage the Professional's reputation.
7. Confidentiality
7.1 Confidentiality Obligation
The Professional keeps strictly confidential all information relating to the Client that is not publicly available ("Confidential Information"), and does not disclose it to any third party except as strictly necessary to perform the Services or as permitted under section 7.2. Information that is or becomes publicly known through no act or omission of the Professional is not Confidential Information.
7.2 Limited Exception: Prevention of Serious Harm
By way of exception, where the Professional reasonably believes in good faith that disclosure is necessary to prevent a serious risk of harm to the Client or to a third party, in particular a risk to life, she may disclose
Lisa Jo Services, Terms and Conditions, page 6
Confidential Information and, where there is a risk to life or safety, shall alert the competent authorities. The Professional may also disclose Confidential Information where required by law or by a competent authority. Any such disclosure is limited to what is strictly necessary. Any disclosure of personal data in this context is subject to section 8.3.
Where the Professional suspects domestic violence, child abuse, or abuse of a dependent adult, she acts in accordance with the Dutch mandatory reporting code (Wet verplichte meldcode huiselijk geweld en kindermishandeling) and is entitled to report her concerns to Veilig Thuis, if necessary without the Client's consent, under the statutory right to report (meldrecht). Dutch law does not impose a general duty to report. Where a legal obligation or a court order requires disclosure, the Professional complies.
7.3 Recording of Sessions
Neither Party may record a session, whether in audio or video, without the other Party's prior written consent. Any recording made with consent is treated as Confidential Information and is subject to sections 7 and 8.
8. Data Protection and Privacy
8.1 Compliance and Role
The Professional processes personal data relating to the Client with due care and in full compliance with the General Data Protection Regulation (GDPR) and the Dutch GDPR Implementation Act (Uitvoeringswet AVG). In the context of providing the Services to an individual Client, the Professional acts as controller of that Client's personal data.
8.2 Special-Category Data
Given the nature of the Services, some data may qualify as special-category data within the meaning of Article 9 GDPR (in particular data concerning health). The Professional processes such data only where necessary and on an appropriate legal basis, in principle the Client's explicit consent under Article 9(2)(a) GDPR, and encourages Clients to share only what is relevant to the agreed goal.
8.3 Disclosure to Protect Vital Interests
Where there is a serious risk to the life or safety of the Client or of a third party, the Professional may share personal data, including special-category data, with the competent authorities or other relevant third parties, to the extent necessary to protect vital interests, on the basis of Article 6(1)(d) and Article 9(2)(c) GDPR. Such sharing is limited to what is strictly necessary.
8.4 Security and Retention
The Professional implements appropriate technical and organisational measures to protect personal data, in particular against unauthorised access and cyber-attacks. The Professional retains records for the period required by applicable professional standards and legal retention obligations, which is no less than seven (7) years, after which the data is deleted or anonymised.
8.5 International Transfers
Where the Client is located outside the European Economic Area, the Professional ensures that any transfer of personal data benefits from an appropriate safeguard under Chapter V GDPR, such as an adequacy decision or standard contractual clauses.
8.6 Privacy Policy
The Professional's Privacy Policy, available at https://www.lisajotherapy.com/ [confirm exact URL], sets out further detail. By entering into the agreement, the Client acknowledges having read the Privacy Policy.
9. Liability
9.1 Limitation of Liability
The Professional's liability for any loss or damage arising in connection with the performance or non-performance of the Services is limited to direct damage caused by her own demonstrable fault, gross negligence, or wilful misconduct.
The Professional is not liable for indirect or consequential loss, including loss of revenue, loss of profit, or reputational harm. The Client acknowledges that the outcome of therapeutic and relational work depends on many factors beyond the Professional's control.
9.2 Cap on Liability
Except in cases of gross negligence or wilful misconduct, the Professional's total aggregate liability does not exceed the total fees paid by the Client for the Services giving rise to the claim.
Nothing in this section 9 limits or excludes liability that cannot be limited or excluded under Dutch law, in particular liability towards Consumers for death or personal injury, or for damage caused intentionally or by gross negligence.
9.3 Third-Party Tools
The Professional is not liable for delays, interruptions, or errors arising from third-party software or platforms used to deliver the Services (for example, video-conferencing or scheduling tools), which are subject to their own terms and outside the Professional's control.
10. Force Majeure
10.1 Definition
Neither Party is in breach of these T&C where performance is prevented by a Force Majeure event. Force Majeure means any external cause or circumstance beyond the reasonable control of the affected Party that temporarily or permanently prevents the performance of an obligation, including war or danger of war, civil unrest, natural disasters (such as fire, flood, or earthquake), riot, strike, transport disruption, computer system failures, power outages, and any pandemic, epidemic, or other threat to public health, together with any measures imposed by public authorities in response.
Ordinary personal circumstances of a Party, such as ordinary illness or travel, do not constitute Force Majeure. A payment obligation for Services already delivered is never suspended by Force Majeure.
10.2 Effects
The affected obligations are suspended for the duration of the Force Majeure event. The affected Party notifies the other Party as soon as reasonably practicable.
10.3 Prolonged Force Majeure
If a Force Majeure event continues for more than sixty (60) consecutive days, either Party may terminate the engagement, or the affected part of it, by written notice, without liability for damages on either side, and without prejudice to amounts due for Services already delivered.
11. Term and Termination
11.1 Term
These T&C enter into force on the Effective Date and remain in force until the Services have been completed and all payments due have been received, unless terminated earlier in accordance with the provisions below.
11.2 Termination for Convenience
Either Party may terminate the engagement for convenience by written notice. The Client pays for all Services performed up to the effective date of termination, together with any expenses already incurred by the Professional on the Client's behalf. This section 11.2 is without prejudice to the Consumer's right of withdrawal under section 5.
11.3 Termination for Cause
Either Party may terminate the engagement with immediate effect by written notice if:
● the other Party commits a material breach and fails to remedy it within fourteen (14) days of written notice specifying the breach; or
● the other Party becomes insolvent, is subject to bankruptcy or receivership, or to any analogous proceedings under applicable law.
The Professional may also terminate with immediate effect where the Client behaves in a manner described in section 2.2.3.
11.4 Inactivity and File Closure
If the Client is unable to keep appointments, or if the Professional does not hear from the Client for one (1) month, the Professional may close the Client's file and treat the engagement as ended, after settling any amounts due. The file may be reopened and the work resumed later, subject to the Professional's availability.
11.5 Survival
The following provisions survive termination or expiry and remain in full force:
● Section 3 (Fees and Payment Terms);
● Section 6 (Intellectual Property);
● Section 7 (Confidentiality);
● Section 8 (Data Protection and Privacy);
● Section 9 (Liability);
● Section 12 (Complaints and Disputes);
● Section 13 (Applicable Law and Jurisdiction).
12. Complaints and Disputes
If the Client is dissatisfied with the Services, the Client is encouraged to raise the matter with the Professional first, so that a solution can be found together. In accordance with the Dutch Care Quality, Complaints and Disputes Act (Wet kwaliteit, klachten en geschillen zorg, Wkkgz), the Client may also use the Professional’s complaints procedure and contact the independent complaints officer (klachtenfunctionaris). If the complaint is not resolved, the Client may submit the dispute to the disputes body (geschilleninstantie) to which the Professional is affiliated: Quasir. That body can issue a binding decision. These rights are without prejudice to the Client’s right to bring the dispute before the competent court under the following section.
13. Applicable Law and Jurisdiction
These T&C are governed by and construed in accordance with the laws of the Netherlands. Lisa Jo Services, Terms and Conditions,
In the event of a dispute, the Parties first attempt resolution through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notification, the Parties attempt mediation before initiating legal proceedings. If the dispute remains unresolved, it is submitted to the competent court of the Rechtbank Amsterdam.
Where the Client is a Consumer domiciled in the European Union, this choice of court does not deprive the Consumer of the protection of the mandatory rules of their country of habitual residence, nor of their right to bring or defend proceedings before the courts of that country, in accordance with Regulation (EU) No 1215/2012 (Brussels Ia).
14. General Provisions
14.1 Entire Agreement
These T&C, together with the accepted Quote, constitute the entire agreement between the Parties and supersede all prior discussions, proposals, or agreements on the same subject matter.
The Client is also asked to read and agree to the Professional’s Informed Consent document before the Services begin. The Informed Consent complements these T&C; in the event of any conflict on commercial or contractual matters, these T&C prevail.
14.2 Severability
If any provision is found invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions continue in full force.
14.3 No Waiver
The failure to enforce any provision on any occasion does not waive the right to enforce it later or to enforce any other provision.
14.4 Notices
Any notice is made in writing and delivered by email to the address specified in the Quote. Notices sent by email are deemed received on the next business day following transmission, unless a delivery failure is received.
14.5 Amendments
The version of these T&C in force at the date of the Client's acceptance of the Quote applies to the engagement. Subsequent amendments do not affect engagements already in progress unless both Parties agree in writing.
